Adapex Definitions



  • Adapex Network Buyers means all third parties, including advertisers, agencies and advertising networks, which the Adapex Network brings together for the purpose of purchasing Partner’s Advertising Space and placing Demand Ads in the Advertising Space made available through the Platform. 
  • Adapex Network (SSPs and AD Servers) means all third parties that Adapex brings together for the purpose of selling Partner’s Advertising Space(s) and placing Demand Ads in the Advertising Space(s) made available by Partner. 
  • Advertising Space(s) means any advertising space made available on the Property for the purpose of displaying Advertisements that are visible to Users on the Partner’s Property. 
  • Cross-Device Linking means (where applicable) the action of linking two or more browsers and/or applications/devices, used or likely to be used, by Users.
  • Partner’s Raw Data means the data collected by Adapex Networks through the tags and/or SDK on the Partner’s Properties, which includes any information that can be referred to a User through cookies or other technologies that record events relating to the User’s online activity on the Properties (such as, but not limited to, the number of pages viewed, the products the User has viewed, the User’s searches, internal search queries, domain names, URLs visited, so-called referrer URLs). 
  • Demand Ads means Adapex Buyer Partners’ Ads.
  • inStream Formats means the advertising formats that allow the presentation of video ads before, during or after the streaming of a video content.
  • Outstream Ads means the advertising formats that allow the presentation of video ads in the absence of video content
  • Adapex Formats means advertising formats:
    • Standard IAB display, 
    • Native Banners
    • Rich media, 
    • Video, 
    • Audio, 
    • CTV, 
    • Apps
    • Newsletters (programmatic banners inside users’ emails)
  • Impression means (i) for video formats, an impression is delivered when the video ad starts playing; (ii) for formats other than video, an impression is delivered when the ad is displayed. In either case, the Impression must be visible to the user; and (iii) notwithstanding the display of the ad format, an Impression may be counted when Adapex has won an auction and Adapex’s script is loaded to allow Adapex to verify that the slot on which Adapex is bidding technically fits for Adapex to display an ad on the page.
  • Applicable Data Protection Law means all applicable privacy and data protection laws and regulations, as amended or replaced from time to time, including, where applicable (i) the EU General Data Protection Regulation 2016/679 (“GDPR”); (ii) the EU e-Privacy Directive 2002/58/EC, as amended (“e-Privacy Legislation”); (iii) any national data protection laws enacted pursuant to, in accordance with, in lieu of, or as a result of (i) and (ii) above; (iv) the UK Data Protection Act 2018; (v) the UK Privacy and Electronic Communications Regulations (“PECR“); (vi) the US California Consumer Privacy Act of 2018, Cal. Civ. Code § 1798.100-1798.199, as amended or superseded from time to time, together with any implementing regulations (“CCPA“); (vii) the Brazilian General Data Protection Act, Federal Law No. 13,709/2018 (“LGPD“); and (viii) any legislation amending or updating the above regulations.
  • Platform means Adapex’s proprietary software as made available to Partner, which enables Partner to manage and monetize and which enables Adapex to access Partner’s Advertising Spaces, place Advertisements and purchase Impressions. 
  • Property means all the sites, pages, services, bundles, podcasts and applications that the Partner owns and/or is duly authorized to manage, and that are (i) connected by a hypertext link, published on the Internet and marked by a URL on the Internet accessible via mobile phones, tablets, smart TVs or any other means of communication connected to the Internet, on which the advertisements disseminated are made available; (ii) identifiable by a domain name in respect of which the Partner owns the rights of use; or (iii) accessed through the use of native applications on mobile phones or any other device. The Properties will be listed during the registration process and in the Partner’s account, and may be updated from time to time. 
  • Advertising means the advertisements that are displayed on the Properties in connection with the campaigns that Adapex’s Partners sell to advertisers and agencies, using the Adapex Managed Services. 
  • Adapex Managed Services means access by Adapex to the Advertising Spaces in order to position the Adapex Buying Partners’ Advertisements provided by Adapex, based on the criteria identified by the Partner through the use of the Platform. The Service enables Adapex to purchase the Partner’s Advertising Space and place Demand Ads through the Adapex Platform. For the purposes of this Agreement, Demand Ads come from Adapex’s Acquiring Partners that Adapex brings together to purchase Partner’s Advertising Space and place Demand Ads on Partner’s Advertising Space as made available on the Platform (“Adapex Demand”)
  • Platform Users means the Partner and the individuals employed and designated by the Partner that have access to the platform.
  • Software Development Kit (SDK) means the software development kit provided by Adapex and used by Partner to enable the display of the Advertising Formats. 
  • Tag means the Javascript code that must be placed on the Property in order to call up and display Advertisements. 
  • Territory means the location of the IP address of Users visiting the Properties as determined on the Platform.
  • User(s) means the end users visiting the Properties and the end users viewing the Advertisements on the Properties. The User may also qualify as a Data Subject (as specifically defined under the GDPR, the UK Data Protection Act 2018 and the LGPD) or Consumer (as defined under the CCPA), under the Applicable Data Protection Act
